Terms and Conditions of Service

1. Acceptance of Terms

By creating an account, accessing, or using WappFlow ("Platform", "Service", "we", "us", or "our"), you ("User", "Subscriber", "Customer") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"), along with our Privacy Policy. If you do not agree to these Terms in their entirety, you must not access or use the Service.

If you are using the Service on behalf of an entity, organization, or company, you represent and warrant that you have full legal authority to bind that entity to these Terms.

2. Description of Service

WappFlow provides a software-as-a-service (SaaS) workflow tool that enables users to manage WhatsApp messaging campaigns, connect phone numbers via web-based QR session pairing, import contact spreadsheets, configure Spintax message variations, schedule sending intervals, and monitor message delivery statuses.

WappFlow does not provide telecommunications services, SMS gateways, or direct WhatsApp API ownership. The platform functions strictly as an orchestration interface operating on the user's connected WhatsApp account.

3. Independent Third-Party Status

WappFlow is an entirely independent software service. "WhatsApp" and "Meta" are registered trademarks of Meta Platforms, Inc. WappFlow is not endorsed, approved, certified, or affiliated with Meta Platforms, Inc. or WhatsApp LLC.

Users acknowledge that Meta retains sole control over WhatsApp infrastructure and policy enforcement, which may change at any time without notice.

4. Account Registration and Security

To use WappFlow, you must register for an account by providing accurate, current, and complete information. You are responsible for safeguarding your login credentials and for all activities conducted under your account.

You agree to notify us immediately at security@wappflow.com if you suspect any unauthorized access or security breach of your account.

5. Compliance with WhatsApp and Meta Policies

You agree to strictly comply with WhatsApp’s Terms of Service, Commerce Policy, and Business Messaging Policy at all times. You warrant that:

• All message recipients have provided verifiable prior explicit opt-in consent to receive promotional or informational messages from your business.
• Every broadcast message contains clear opt-out instructions (e.g. "Reply STOP to unsubscribe"), and you will honor all opt-out requests instantly.
• You will not purchase, rent, scrape, or harvest phone numbers from third parties, social media, or directory sources.
• You will adhere to recommended humanized sending delay intervals (5–10 seconds) and daily quota limits.

6. User Responsibilities and Prohibited Activities

You agree not to use WappFlow for any unlawful, fraudulent, defamatory, or abusive purposes. Prohibited activities include sending unsolicited spam, transmitting malware, phishing scams, or harassing recipients.

7. Subscription, Billing, and Payments

WappFlow is billed on a recurring monthly or annual subscription basis in Indian Rupees (INR) or specified local currency. By purchasing a subscription (such as Starter at ₹499/month, Growth at ₹899/month, or Enterprise), you authorize recurring automatic charges through our authorized payment processors (including Razorpay).

8. Cancellation and Refund Policy

You may cancel your subscription at any time directly through the Billing section of the dashboard. Upon cancellation, your subscription will remain active until the end of your current paid billing period.

No Refunds Policy: Due to server provisioning, WAHA infrastructure, and operational costs, subscription payments are non-refundable. We do not provide prorated refunds for partial months or unused message quotas.

9. Account Suspension and Termination

We reserve the right, in our sole discretion, to suspend, throttle, or terminate your access to WappFlow immediately and without prior notice if you violate these Terms, generate excessive spam reports, or engage in abusive behaviors.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WAPPFLOW DOES NOT WARRANT UNINTERRUPTED AVAILABILITY OR GUARANTEE AGAINST WHATSAPP RESTRICTIONS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WAPPFLOW BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA LOSS, OR WHATSAPP NUMBER RESTRICTIONS.

12. Indemnification

You agree to defend, indemnify, and hold harmless WappFlow from and against any claims, damages, liabilities, and expenses arising from your use of the Service or violation of third-party policies.

13. Intellectual Property Rights

All rights, titles, and interests in the WappFlow platform, code, software, documentation, and trademarks remain the exclusive intellectual property of WappFlow.

14. Modifications to Terms and Service

We reserve the right to revise or modify these Terms or platform features at any time. Continued use of the platform constitutes agreement to the updated Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, with exclusive jurisdiction in the courts located in Bengaluru, Karnataka, India.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
